Terms of Service

Agreement: By using our services, client portal, or connecting your QuickBooks account to our platform, you agree to these Terms of Service. Please read them carefully.

1. Parties and Acceptance

These Terms of Service ("Terms") govern the relationship between Southwest Security Services ("Company," "we," "our," or "us") and you ("Client," "you," or "your") with respect to: (a) armed patrol and security services performed at your properties; (b) use of our client portal and mobile reporting applications; and (c) integration of third-party financial services including QuickBooks Online.

By signing a service agreement, accessing our client portal, or authorizing our QuickBooks integration, you accept these Terms in full.

2. Security Services

2.1 Scope of Services

Southwest Security Services provides mobile armed patrol services including, but not limited to: property walkthroughs, vagrant removal and trespasser management, incident documentation and photography, maintenance issue flagging, and daily 8 AM incident report delivery. Specific service details are set forth in your signed service agreement.

2.2 Licensing and Compliance

Southwest Security Services holds a valid Arizona Department of Public Safety (DPS) security agency license (License No. 1676062). All armed guards are DPS-certified and background-checked. The Company complies with all applicable Arizona security services laws, including A.R.S. Title 32, Chapter 26.

2.3 No Guarantee of Security

While we take all reasonable measures to provide professional patrol services, no security service can guarantee prevention of all criminal activity or property damage. The Company is not liable for incidents occurring between patrol rounds or outside the scope of contracted services.

2.4 Use of Force

Our armed guards are trained in de-escalation and use of force protocols in compliance with Arizona law and DPS regulations. The Company maintains general liability and professional liability insurance. Force is used only when legally permitted and necessary for the safety of persons or property.

3. Client Portal and Software

3.1 Access

We grant you a non-exclusive, non-transferable license to access and use the client portal solely for managing your security service account. You agree to keep your login credentials confidential and notify us immediately of any unauthorized access.

3.2 Acceptable Use

You agree not to: attempt to gain unauthorized access to any part of our systems; use the portal for any unlawful purpose; interfere with the operation of our services; or reproduce, copy, or resell any portion of our platform.

3.3 Availability

We make reasonable efforts to keep the portal available 24/7. Scheduled maintenance, technical issues, or circumstances beyond our control may cause temporary unavailability. We are not liable for losses arising from portal downtime.

4. QuickBooks Online Integration

4.1 Authorization

Our platform optionally integrates with Intuit QuickBooks Online via OAuth2 to synchronize customer records and invoices. When you authorize this connection, you grant us read-only access to the QuickBooks data described in our Privacy Policy. We do not write to or modify your QuickBooks data without your explicit action.

4.2 Scope of Access

We access only data related to your account with us: your customer record, associated sub-customers (properties), and invoices. We do not access financial data of other companies or individuals in your QuickBooks account.

4.3 Revocation

You may revoke our QuickBooks access at any time via the admin portal or through your Intuit account settings. Revoking access will not affect your active service agreement with us.

4.4 Third-Party Terms

Your use of QuickBooks Online is governed separately by Intuit's Terms of Service and Privacy Policy. We are not responsible for Intuit's services, data handling, or service availability.

5. Payment and Billing

5.1 Fees

Service fees are set forth in your signed service agreement. Subscription fees for ongoing patrol services are billed monthly in advance. Temporary patrol and standing guard services are billed as described in the applicable quote or agreement.

5.2 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe to charge the applicable fees. Credit card and ACH/e-check payments are accepted. We do not store your payment credentials.

5.3 Late Payment

Invoices not paid within 30 days of the due date may incur a 1.5% monthly late fee. We reserve the right to suspend services for accounts more than 30 days past due after written notice.

5.4 Cancellation

Monthly patrol subscriptions may be cancelled with 30 days' written notice. Temporary patrol engagements are non-refundable after service commencement. Standing guard services may be modified with 24-hour notice.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUTHWEST SECURITY SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OUR SERVICES OR PORTAL. OUR TOTAL LIABILITY TO YOU FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 90 DAYS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify and hold harmless Southwest Security Services, its officers, armed guards, employees, and agents from any claims, losses, or damages arising from: your breach of these Terms; your negligent or wrongful acts; or your violation of any applicable law.

8. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

9. Modifications

We reserve the right to modify these Terms at any time. We will notify active clients of material changes by email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the modified Terms.
